The Foreign Corrupt Practices Act (the "FCPA") is a federal law which prohibits companies from paying bribes to government officials and political figures for the purposes of obtaining business. In addition to containing anti-bribery provisions, the FCPA also includes accounting provisions which prohibit individuals and businesses from knowingly falsifying books and records or knowingly circumventing or failing to implement a system of internal controls.
Recently, the Securities and Exchange Commission (the "SEC") and the US Department of Justice (the “DOJ”) have jointly released a resource guide on the FCPA. The guide covers statutory requirements of the FCPA as well as discusses the enforcement practices of both the SEC and the DOJ. For a full text of the resource guide, please click here.
